1. About these Terms

These Terms govern your use of SpinStream™ and the creation, preservation, proof, registration, display, transfer, and related services associated with NFArtifact™ digital artifacts. By using SpinStream, you agree to these Terms and the policies linked below.

SpinStream™ is the service and creation environment. An NFArtifact™ is the digital artifact assembled and finalized through the SpinStream process. NFArtifacts™ is the plural form. An NFArtifact may contain, present, identify, document, or reference music, recordings, video, images, artwork, writing, metadata, licenses, proof information, and other material supplied or selected by a creator.

2. Your Work. Your Rights.

Your work remains yours.

SpinStream does not take ownership of the music, recordings, videos, images, artwork, writing, documents, or other creative material you submit. Our business model is not based on acquiring ownership of creators’ work.

You give SpinStream only the limited permission reasonably necessary to provide the services you choose. This may include permission to host, process, reproduce, store, transmit, display, preserve, verify, seal, register, archive, and maintain your NFArtifact and its associated records.

This permission is not a transfer of ownership.

Using SpinStream, creating an NFArtifact, receiving an Artifact Identification Number (A.I.N.), purchasing a proof service, registering a work with OnlyUno™, or allowing us to preserve or display your work does not give SpinStream, NFArtifact, OnlyUno, or the operator of these services ownership of your work.

We do not acquire your copyrights, publishing rights, master recording rights, trademark rights, ownership of your artwork or visual media, or other ownership interests in your creative work merely because you use our services.

Any transfer or grant of actual ownership rights to SpinStream would require a separate, specific written agreement that identifies the particular rights being transferred or granted. It will never occur automatically through ordinary use of SpinStream or acceptance of these Terms.

SpinStream preserves and proves records. We are not in the business of taking ownership of creators’ work.

3. Material You Have Permission or Another Lawful Basis to Use

You do not necessarily need to own every element contained in a work in order to use SpinStream. A submission may contain material that you are authorized to use through a license, permission, public-domain status, an open license, collaboration agreement, statutory authorization, or another lawful basis.

For example, a work may contain your own recording or video together with licensed music, public-domain footage, licensed photography, collaborative material, or other third-party material.

You retain whatever rights you actually have in your contribution. The owner of third-party material retains whatever rights that person or organization has in that material.

SpinStream does not determine ownership, transfer third-party rights to you, or give you rights that you do not otherwise possess.

Unless SpinStream expressly states in writing that it has obtained a particular license for you, SpinStream does not obtain synchronization, mechanical, performance, publishing, copyright, trademark, publicity, or other third-party permissions on your behalf.

4. Your Rights / License Declaration

When SpinStream asks about the rights or permissions associated with a submission, your answer records your present declaration concerning that material.

I have the necessary rights or authorization means that you own, control, have permission, a license, or another lawful basis to use the submitted material for the intended purpose.

I’m not sure means that you are not presently certain whether all necessary rights, permissions, or other authorization have been obtained.

I do not presently have the necessary authorization means that you are not presently representing that all necessary rights or permissions have been obtained.

Your selection records your declaration only. It does not determine, grant, transfer, or guarantee ownership or permission.

An NFArtifact, A.I.N., registry entry, seal, Proof Dossier, ledger record, or blockchain record does not by itself grant copyright, decide ownership, create a license, or determine who ultimately owns a disputed right.

5. The NFArtifact Is Not the NFT

An NFArtifact does not need a blockchain token in order to exist. That distinction is fundamental.

SpinStream creates the NFArtifact first: the persistent digital object containing or presenting the creator’s media, metadata, identity, proof information, and associated record.

The Artifact Identification Number — the A.I.N. — provides the persistent identity for that artifact and its record.

A blockchain token can then be created later and connected to that NFArtifact.

NFArtifact = the digital object.
A.I.N. = the identity and record of the object.
NFT or token = an optional blockchain instrument connected to the object or record.

The artifact comes first

A conventional NFT may begin with a blockchain token that points elsewhere for its image, recording, metadata, or other content. SpinStream approaches the relationship from the opposite direction.

The NFArtifact exists independently. It has its own identity, record, proof structure, and persistent address before anyone decides whether blockchain tokenization is useful. A token can point to the artifact rather than the artifact depending upon the token for its existence.

An NFArtifact does not become an NFT merely because it is sold, licensed, transferred, or collected. It remains an NFArtifact. Blockchain is an optional additional layer.

One NFArtifact can support different transactions

An NFArtifact identified by a single A.I.N. may contain or represent an original master recording, video, artwork, metadata, and an associated evidence record. One transaction might transfer the collectible NFArtifact itself. Another might transfer particular rights associated with a master recording. Another might grant a commercial license. Where appropriate and legally permitted, blockchain instruments may be created to represent particular interests associated with the same artifact.

Those instruments can point back to the same NFArtifact and A.I.N. record.

A token does not automatically mean copyright

Owning a token that points to an NFArtifact does not automatically mean the token owner has acquired the copyright, master rights, publishing rights, royalties, trademark rights, or every other right connected with the material.

A token may represent collectible ownership, specified intellectual-property rights, a license, an economic interest, access rights, or another expressly defined interest. It may also represent no intellectual-property rights at all.

The applicable transaction defines what rights or interests are being transferred. The existence of the token alone does not.

Rights can move without a token

Blockchain is not required to transfer rights. A rights holder may transfer an NFArtifact, a master recording, particular rights, or all transferable rights that the holder owns through a conventional contract, assignment, license, sale, or other legally recognized transaction.

A rights holder cannot transfer more rights than that holder owns or has authority to transfer.

The A.I.N. identifies the record. The transaction defines the rights.

The governing principle

The persistent artifact is primary. Tokenization is optional.

A creator can create an NFArtifact today and never tokenize it. Or the creator may decide later that blockchain ownership, licensing, collectibles, or other forms of tokenization make sense.

The underlying artifact and A.I.N. remain the common point of reference.

One work. One record. One A.I.N.

Tokens can come and go. The record remains.

6. Transfers and Rights Associated With an NFArtifact

An NFArtifact may contain or reference one or more creative works, recordings, files, media elements, licenses, ownership interests, or other rights. The A.I.N. identifies the NFArtifact and its associated record, but does not itself transfer rights.

A creator or subsequent rights holder may transfer all or a portion of the rights that person owns and is legally entitled to transfer in connection with an NFArtifact. A transfer may concern the NFArtifact itself, particular material associated with it, specified rights, or all transferable rights owned by the transferring party.

The transfer of an NFArtifact does not automatically transfer rights in licensed, public-domain, collaborative, or third-party material associated with the artifact.

Where SpinStream records a declared sale, assignment, license, token association, or other rights event, that record documents the information supplied to the service. SpinStream does not by that act create rights that did not otherwise exist.

7. Preservation, Rights Disputes, and Legal Removal

SpinStream is designed to preserve the record.

When a claim concerns ownership, copyright, permission, or another right, we will not remove or disable an artifact merely because someone objects to it. We will restrict, disable, or remove material when required to comply with applicable law or valid legal process.

When particular media must legally be restricted or removed, where legally permissible, the underlying historical record may remain. That record may include the A.I.N., artifact identity, timestamps, hashes, proof records, registry information, transaction history, and a record that access to particular material was later restricted or removed.

Restriction or removal of media therefore does not necessarily require erasing the historical fact that an NFArtifact or associated record existed.

The record is intended to remain. Material is restricted or removed when the law requires it.

8. Your Responsibilities

You are responsible for your content, links, declarations, permissions, and the accuracy of information you submit. Do not knowingly submit material that is unlawful, infringes rights you do not have authority to use, misleads others about authorship or ownership, contains malicious code, or compromises the security or operation of the service.

If your work includes third-party material, you are responsible for understanding the scope of the rights or authorization on which you rely unless SpinStream expressly agrees in writing to obtain a particular permission on your behalf.

9. Proof, Records, and What They Mean

SpinStream proof services are designed to document facts and evidence associated with an NFArtifact, such as identity, timestamps, hashes, records, and other available proof information.

Proof services do not constitute copyright registration, legal advice, a court judgment, or a guarantee that a particular person owns every right associated with a work. Additional details may be provided in the Proof Disclaimer.

10. Fees, Refunds, and Optional Services

Prices and the scope of paid services are shown when you choose or purchase them. Some services may be one-time purchases and others may be optional recurring services. Refunds are governed by the Refund Policy and any specific terms presented at purchase.

11. Service and Liability

SpinStream is designed for persistence, but no online service can promise uninterrupted availability under every circumstance. Features may change, networks or third-party services may become unavailable, and access may be affected by events outside our control.

To the maximum extent permitted by applicable law, SpinStream is provided without implied warranties. Except where applicable law requires otherwise, our aggregate liability for a claim arising from a paid SpinStream service will not exceed the amount you paid for the affected service.

12. Changes to these Terms

We may update these Terms as the service develops. The current version will be published here with its effective date. Where a change materially affects an ongoing paid service or a substantive right, we will provide notice when reasonably required by law or the nature of the change.

For NFArtifacts and Proof Dossiers, SpinStream may record the applicable Terms version or date so that the historical record can show which declaration or policy version was in effect when a relevant action occurred.
